Balanced position
The provider warrants that the service or deliverables will materially conform to the documentation or specifications, that services will be performed in a professional and workmanlike manner, and that it will comply with applicable law in performing. Each party warrants it has authority to enter the agreement. Implied warranties are disclaimed conspicuously, but the express warranties stand behind the core commitment. Warranty remedies are repair/re-performance or replacement, backed by a refund right if the provider cannot cure.
Provider warrants that (a) the Service will materially conform to the
Documentation, and (b) professional services will be performed in a
professional and workmanlike manner consistent with industry standards. As
Customer's exclusive remedy for breach of this warranty, Provider shall
re-perform the affected services or correct the non-conformity; if Provider
cannot do so within thirty (30) days, Customer may terminate the affected
order and receive a refund of prepaid fees for the unperformed portion.
Common one-sided variants
Tilted toward the provider:
- "As is" disclaimer reaching the core commitment itself — the service is promised in the order form and unpromised in the warranty section.
- Sole remedy is re-performance at the provider's discretion with no refund backstop, making the warranty illusory.
- Warranty claim window so short (e.g., days from delivery) that defects cannot realistically be discovered in time.
Tilted toward the customer:
- Open-ended fitness-for-purpose warranties measured against the customer's subjective business outcomes.
- One-sided compliance-with-laws warranty covering laws applicable to the customer's industry rather than to the provider's performance.
- Warranties that operate as uncapped indemnities by feeding into a carve-out from the liability cap.
Fallback ladder
- Conformance + professional-performance warranties; conspicuous disclaimer of implied warranties; cure-then-refund remedy (preferred).
- Accept exclusive warranty remedies if the refund/termination backstop is preserved when cure fails.
- Accept a defined warranty period (commonly 90 days to 12 months for deliverables) running from delivery or acceptance, with notice required within the period rather than within days of discovery.
- Accept "as is" only for genuinely as-is items (beta features, free tiers, third-party components), expressly carved out from the paid core service.
Below rung 4 — an "as is" core service or a discretionary-only remedy — escalate.
Rationale: A warranty is only as real as its remedy; review the remedy and the disclaimer's reach before the warranty's wording.
